User Agreement for Reyee

Important:

This User Agreement for Reyee (the "Agreement") is entered into by and between Ruijie Networks Co., Ltd. ("Ruijie", "Ruijie Networks", or "we") and you (the "User") for the purpose of providing you with any Reyee product/service ("Reyee Product/Service"). Once this Agreement is executed, it is legally binding on you and Ruijie. Ruijie solemnly reminds you to carefully read and fully understand all the terms of this Agreement, especially those that exempt or limit Ruijie's obligations and responsibilities, those that exclude or restrict the user's rights, and the content marked in bold. By agreeing to this Agreement, you acknowledge that you have read and agreed to be bound by this Agreement. Otherwise, please immediately stop registering or using the Reyee Product/Service.

I. Reyee

The term "Reyee" under this Agreement refers to the Reyee series hardware products provided to you, as well as the embedded software services.

II. General Provisions

1. Ruijie does not guarantee that:

(1) Reyee Product/Service meets your requirements for use.

(2) Reyee Product/Service is free from interference, and the data is transmitted in a timely, secure, reliable, and error-free manner.

(3) Any products, services or other materials obtained by you through Reyee Product/Service meet your expectations;

(4) You are not at risk of using any materials downloaded or obtained through Reyee Product/Service;

(5) Once you cancel the Reyee Product/Service, the content uploaded, saved, and used will still exist or be restored.

2. Ruijie shall not be liable for any direct or indirect loss of profits, business reputation, data or other tangible or intangible losses caused by the following reasons:

(1) Use or inability to use the Reyee Product/Service;

(2) Any product, material or service purchased or obtained through Reyee Product/Service;

(3) Unauthorized use or modification of user data;

(4) Other matters related to Reyee.

(5) The user shall be liable for any dispute or loss caused by granting third parties (including third-party applications) access to or use of Reyee Product/Service. Ruijie shall not take any responsibility in relation thereto.

3. Ruijie will try the best to promote the correctness, continuity, timeliness, and security of Ruijie services based on the existing technical level, but we do not make any guarantee as to or bear any compensation liability to unpredictable and uncontrollable accidental risks (such as computer viruses, Trojan horses, other malicious programs, hacker attacks, failures in devices, systems, hardware, software, and communication lines, and natural disasters), product technical defects, service stability, and any loss or damage arising therefrom, unless otherwise stipulated by law.
4. Ruijie has always been committed to improving services. We will provide software updates from time to time (these updates may take the form of software replacement, modification, function enhancement, or version upgrade) and carry out necessary network maintenance and upgrade for your products. To ensure the security and consistency of the service, you agree that Ruijie may update the software and maintain and upgrade the product without further notice.
5. To the extent permitted by applicable laws, Ruijie has the right to suspend, terminate and modify the services at any time at our own discretion, or to do so for some users without further notice.
6. Reyee Product/Service may include links or application programming interfaces (APIs) to third-party platforms or applications. Ruijie provides such links only for your convenience, and makes no warranty about such links. Ruijie's provision of such links does not represent Ruijie's making of any recommendation, support or authorization to such third parties and its products and services. You should identify them and bear relevant risks by yourself. When you use any products and services of the above third parties, you should understand and accept the terms and conditions of such third parties.
7. If this software uses any software or technology of a third party, Ruijie will display relevant agreements or other documents as attachments to this Agreement or as packaged in specific folders of this software installation package, according to relevant regulations or agreements, which may be expressed in "software use license agreement", "license agreement", "open source code license" or other forms. The above-mentioned agreements or other documents displayed in various forms are an integral part of this Agreement and have the same legal effect as this Agreement. You should comply with these requirements. If you fail to comply with these requirements, the third party or national authority may file a lawsuit, fine or take other sanctions against you, and require Ruijie to provide assistance, and you should bear legal liabilities arising therefrom.
8. Any disputes arising from the software or technology of a third party used by the software shall be settled by the third party, and Ruijie shall not be liable for such disputes. Ruijie provides no customer service support for any third-party software or technology. If you need support, please contact the third party.
9. You, instead of Ruijie, shall be liable for any loss or liability caused by your own reason, including but not limited to:

(1) Any loss or liability arising from your failure to operate in accordance with this Agreement or any rules published by Ruijie from time to time;

(2) Any loss or liability arising from your failure to provide Ruijie with correct contact information and to receive relevant notice from Ruijie****in time;

(3) Any other losses or liabilities caused due to your own reasons.

III. Information Push

We would like to remind you that if you receive push information from a third party rather than Ruijie, you shall judge the authenticity of such information and be responsible for your own judgment. We shall not be liable for any loss or damage suffered by you due to the content in such information, unless otherwise stipulated by law.

IV. Notification Push

All notices to users by Ruijie under this Agreement may be sent through the website announcement, email, mobile text message or conventional letter. Such notices shall be deemed to have been delivered on the day of sending. The headings of each section in this Agreement are for convenience of reading only, and shall not be used as the basis for interpretation of the terms.

V. Application of Law

The formulation, execution, interpretation, and dispute settlement of this Agreement shall be governed by the laws of the People's Republic of China and subject to the jurisdiction of Chinese courts. If there are no relevant provisions in the law, reference shall be made to industry or/and business practices.

Any dispute arising from this Agreement shall be settled through friendly negotiation as much as possible. If negotiation fails, a lawsuit can be brought to the People's Court of Haidian District, Beijing.

If any provision of this Agreement is deemed to be repealed, invalid, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions of this Agreement.

VI. Supplementary Provisions

This Agreement will become legally effective once the user agrees to its terms.

Ruijie reserves the right to interpret this Agreement to the extent permitted by law.
